Coolidge Wall Co., L.P.A. has an immediate opening for a licensed Ohio attorney with 1+ year(s) of relevant experience for our corporate department.  Applicants should have experience in corporate transactions (including Mergers and Acquisitions) and be able to work with limited supervision to:

  • Prepare, negotiate and review asset purchase agreements, license agreements and other contract documents for closing transactions;
  • Ensure compliance with federal securities and applicable Blue Sky Laws;
  • Prepare and counsel clients in negotiating terms for the formation of business entities and reorganization of business entities; and
  • Manage due diligence review for transactions.

Corporate M&A Paralegal; 5+ Years

Coolidge Wall Co., L.P.A. has an immediate opening for an M&A Paralegal with significant (5+ years) experience for our corporate department. The ideal candidate will be able to:

  • Coordinate due diligence (including management of electronic data rooms) for a variety of corporate transactions, including mergers, acquisitions, dispositions, financings, etc.;
  • Prepare closing checklists and coordinate the closing process for various corporate transactions;
  • Review and summarize UCC, judgment, tax and other lien searches;
  • Prepare and distribute closing binders; and
  • Prepare and file a variety of documents, including certificates of incorporation/formation, merger and dissolution and other corporate filings, corporate resolutions, and UCC financing statements.
