The firm's corporate/business law department serves a broad range of clients, from emerging businesses to publicly owned multi-national corporations, banks and non-profit entities.

With the broad scope of the firm’s corporate/business law client base, attorneys have exposure to and experience with state and federal regulations. This enables them to anticipate and apply developing trends and changes in the law to better resolve current issues of clients and help client organizations develop preventative measures to avoid future problems or pitfalls.

The firm’s attorneys practice in areas of securities and funding. This includes initial public offerings and other public debt and equity offerings representing both issuers and underwriters. The firm also represents clients in a full range of private placement activity, including equity, debt and hybrid offerings by private and public companies.

In addition, firm professionals conduct many of the activities that fall under the general corporation classification, such as corporate governance issues, corporate structuring, legal opinions, consultation to board of directors, and general contract preparation and review. We also counsel everything from emerging companies to well-established businesses at all stages of their growth.

The department conducts a general commercial bankruptcy practice involving representation of creditors and debtors in all chapter proceedings in the bankruptcy courts in Columbus, Dayton and Cincinnati, as well as bankruptcy courts around the country. Department attorneys also represent parties in state court receivership proceedings.

The firm also engages in international business transactions, representing clients in many parts of the world and assisting clients in acquiring and extending employment related VISAs for current and potential employees.
