Finch practices in the areas of general corporate law and commercial real estate law, focusing on mergers and acquisitions and real estate transactions. Kristin also has experience in intellectual property licensing, franchising, and liquor law and licensing. Kristin has represented primarily privately-held organizations in both internal and third-party business restructuring, mergers, and acquisitions, ranging from internal shareholder buy-outs to multi-million dollar sale transactions. Because she divides her time between corporate and real estate practices, Kristin also advises clients on the real estate aspects of such sales and acquisitions, including all phases of due diligence and contract negotiation. Working with both profit and nonprofit organizations, Kristin also has experience in many aspects of general corporate and contract law, including corporate structuring and capitalization, private offerings, contract drafting and negotiation, licensing and financial leasing arrangements, and noncompete covenants and employment agreements. In her real estate and financing practice, Kristin has represented both borrowers and lenders in various financing transactions, including bond financing, finance leases, and sale-lease back transactions. She also has experience in the drafting and negotiation of commercial leases, the formation and development of condominium and homeowner association projects, and the drafting and negotiation of franchise documentation and uniform offering circulars. Additionally, Kristin has participated in numerous liquor licensing transactions, including initial and transfer applications, local option elections, and asset sales and acquisitions involving liquor license transfers. Kristin was named an Ohio Rising Star by Law & Politics magazine and featured in the August 2005 issues of Cincinnati Magazine and Ohio Super Lawyers - Rising Star Edition. Ohio Rising Stars were nominated by Law & Politics’ Ohio Super Lawyers as up-and-coming attorneys who are age 40 or younger or have been in practice no more than ten years. Only 2.5 percent of Ohio lawyers received this honor.
