Overview

Kristin A. Finch practices in the areas of general corporate law and commercial real estate law, focusing on mergers and acquisitions and real estate transactions. Kristin also has experience in intellectual property licensing, lending transactions, franchising, and liquor law and licensing.

Kristin has represented primarily privately-held organizations in both internal and third-party business restructuring and mergers and acquisitions, ranging from internal shareholder buy-outs to multi-million dollar sale transactions. Because she divides her time between corporate and real estate practices, Kristin also advises clients on the real estate aspects of such sales and acquisitions, including all phases of due diligence and contract negotiation, and real estate acquisitions and leasing.

Working with both profit and nonprofit organizations, Kristin also has experience in many aspects of general corporate and contract law including corporate and LLC structuring and capitalization, private offerings, contract drafting and negotiation, licensing and financial leasing arrangements, confidentiality agreements, noncompete covenants, and employment agreements, as well as liquor licensing transactions, including initial and transfer applications, local option elections, and sales and acquisitions involving liquor license transfers.

In her real estate and financing practice, Kristin has represented both borrowers and lenders in various financing transactions, including bond financing, finance leases, and sale-lease back transactions. She also has experience in the drafting and negotiation of commercial leases, the formation and development of condominium and homeowner association projects, and the drafting and negotiation of franchise documentation and uniform offering circulars.

Kristin was named an Ohio Rising Star by Law & Politics magazine (2005-2007). Ohio Rising Stars are nominated by Law & Politics’ Ohio Super Lawyers as up-and-coming attorneys who are age 40 or younger. Kristin also received a “40 Under 40” award by the Dayton Business Journal for her professional and community contributions, and was named as a “Who’s Who in the Law” by the Dayton Business Journal.  Kristin also was selected by her peers for recognition in The Best Lawyers in America® in the field of Real Estate Law (2013-2020). 

Kristin has served on the Firm’s Executive Committee, the management committee for the Firm’s operations, and on the Firm’s Strategic Planning Committee.  She was also the Chairman of the Firm’s Legal Services Committee for several years.
